END USER LICENSE AGREEMENT

Introduction

This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Pezo Tech LLC ("We", "Pezo Tech", "Us") for the Pezo Educational Platform software application ("App") that accompanies this EULA, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation.

BY INSTALLING, COPYING, OR OTHERWISE USING THE APP, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT INSTALL OR USE THE APP.

License Grant

Pezo Tech grants you the following rights provided that you comply with all terms and conditions of this EULA:

• Installation and Use: You may install and use a copy of the App on a mobile device that you own or control.
• Reservation of Rights: All rights not expressly granted are reserved by Pezo Tech.

Description of Other Rights and Limitations

• Maintenance of Copyright Notices: You must not remove or alter any copyright notices on any copy of the App.
• Distribution: You may not distribute copies of the App to third parties.
• Rental: You may not rent, lease or lend the App.
• Transfer: You may not transfer your rights under this EULA to any third party.
• Reverse Engineering: You may not reverse engineer, decompile, or disassemble the App, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
• Separation of Components: The App is licensed as a single product. Its component parts may not be separated for use on more than one device.
• Support Services: Pezo Tech may provide you with support services related to the App. Any supplemental software code provided to you as part of the support services shall be considered part of the App and subject to the terms and conditions of this EULA.
• Compliance with Applicable Laws: You must comply with all applicable laws regarding use of the App.

Educational Use

The App is designed for educational purposes only. It is intended to be installed by parents or legal guardians for use by their children. Parents or legal guardians must supervise and take responsibility for their children's use of the App.

Termination

Without prejudice to any other rights, Pezo Tech may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the App in your possession.

Intellectual Property Rights

All title, including but not limited to copyrights, in and to the App and any copies thereof are owned by Pezo Tech or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the App is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content. All rights not expressly granted are reserved by Pezo Tech.

No Warranties

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE APP REMAINS WITH YOU.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PEZO TECH OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE APP, EVEN IF PEZO TECH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

COPPA Compliance

We comply with the Children's Online Privacy Protection Act (COPPA). For more information on how we collect and use information from children, please refer to our Privacy Policy.

Governing Law

This EULA shall be governed by the laws of the State of New Jersey, excluding its conflict of law provisions. You hereby consent to the exclusive jurisdiction and venue of the state and federal courts located in New Jersey for all disputes arising out of or relating to this EULA.

Entire Agreement

This EULA constitutes the entire agreement between you and Pezo Tech relating to the App and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the App or any other subject matter covered by this EULA.
